General Terms and Conditions

§ 1 Scope of Application

(1) These General Terms and Conditions (GTC) apply to all business relationships between MAGNOS AUTOMOTIVE GMBH (hereinafter referred to as "Seller") and the customer (hereinafter referred to as "Buyer").

(2) Deviating terms and conditions of the Buyer shall not be recognized unless the Seller expressly agrees to their validity in writing.

§ 2 Conclusion of Contract

(1) The presentation of products does not constitute a legally binding offer, but rather an invitation to place an order.

(2) By placing an order, the Buyer makes a binding contractual offer. The contract is concluded when the Seller accepts the offer through an order confirmation or by delivering the goods.

§ 3 Prices and Payment

(1) All prices are quoted in Euros plus the applicable statutory value-added tax.

(2) Unless otherwise agreed, the purchase price is payable within 14 days of invoicing without deduction.

(3) In the event of late payment, the Seller is entitled to charge default interest at a rate of 9 percentage points above the base interest rate.

§ 4 Delivery and Shipping

(1) Delivery is made ex warehouse Berlin. Delivery dates are only binding if they have been expressly confirmed as binding by the Seller.

(2) Partial deliveries are permitted insofar as they are reasonable for the Buyer.

(3) The risk of accidental loss and accidental deterioration of the goods passes to the Buyer upon handover to the forwarding agent, carrier, or other person designated to carry out the shipment.

§ 5 Retention of Title

(1) The delivered goods remain the property of the Seller until full payment of all claims arising from the business relationship.

(2) The Buyer is entitled to resell the reserved goods in the ordinary course of business. The Buyer hereby assigns all claims arising from the resale to the Seller.

§ 6 Warranty

(1) The Buyer must inspect the goods immediately upon receipt and report recognizable defects in writing within 7 days.

(2) In the event of justified defect claims, the Seller is entitled, at its discretion, to repair or provide a replacement delivery.

(3) The warranty period for business customers is 12 months from delivery.

§ 7 Limitation of Liability

(1) The Seller is liable without limitation for intent and gross negligence.

(2) In cases of slight negligence, the Seller is only liable for breach of essential contractual obligations and limited to the foreseeable, contract-typical damage.

§ 8 Data Protection

The collection and processing of personal data is carried out in accordance with our privacy policy and the applicable data protection laws.

§ 9 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The place of performance and exclusive place of jurisdiction for all disputes is Berlin, provided the Buyer is a merchant (Kaufmann).

(3) Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
